1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Securseed Technologies ("Securseed," "we," "us," or "our"), governing your access to and use of the Securseed platform, website at securseed.com, and all related services (collectively, the "Services").

By accessing or using our Services, you confirm that you have the authority to bind yourself or your organization to these Terms. If you do not agree, you must not access or use the Services.

2. Definitions

• "Platform" means the Securseed cybersecurity automation platform, including all tools, APIs, dashboards, and associated components.
• "Client Data" means any data, information, or materials uploaded, submitted, or transmitted by you through the Services.
• "Subscription" means the paid plan granting access to the Platform's features as specified in your Order Form.
• "Order Form" means the executed agreement specifying the Services, scope, pricing, and term.
• "Authorized Users" means individuals authorized by you to access the Platform under your account.

3. Services Description

Securseed provides an enterprise cybersecurity platform offering:

• Automated security orchestration and response (SOAR).
• AI-powered offensive security testing and red teaming.
• Multi-tenant managed security service provider (MSSP) capabilities.
• Compliance automation and governance, risk, and compliance (GRC) management.
• Threat intelligence aggregation and analysis.
• Security assessment and vulnerability management.

Specific features available depend on your Subscription tier as detailed in your Order Form.

4. Account Registration & Responsibilities

4.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

• You must immediately notify us of any unauthorized access or security breach at info@securseed.com.
• You are responsible for all activities that occur under your account.
• Multi-factor authentication (MFA) is required for all accounts accessing sensitive operations.

4.3 Authorized Users

You are responsible for ensuring all Authorized Users comply with these Terms. You may not share credentials or exceed the licensed number of users.

5. Acceptable Use Policy

You agree not to use the Services to:

• Conduct unauthorized penetration testing, vulnerability scanning, or offensive operations against third-party systems without proper written authorization.
• Violate any applicable law, regulation, or industry standard.
• Upload malicious code, malware, or content that could harm the Platform or other users.
• Attempt to reverse-engineer, decompile, or disassemble the Platform.
• Interfere with or disrupt the integrity or performance of the Services.
• Access data of other clients or exceed your authorized scope.
• Use the Platform for competitive intelligence gathering against Securseed.

Violation of this Acceptable Use Policy may result in immediate suspension or termination without refund.

6. Intellectual Property

6.1 Securseed IP

The Platform, including all software, algorithms, models, documentation, trademarks, and visual designs, is and remains the exclusive property of Securseed. No rights are transferred except the limited license granted herein.

6.2 Client Data

You retain all rights to your Client Data. You grant Securseed a limited, non-exclusive license to process Client Data solely for the purpose of providing the Services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Securseed without obligation or compensation.

7. Fees & Payment

• Fees are specified in your Order Form and are due in accordance with the payment terms stated therein.
• All fees are non-refundable unless otherwise stated in the Order Form.
• We may increase fees upon 30 days' written notice prior to a renewal period.
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law.
• Taxes are your responsibility unless we are legally required to collect them.

8. Data Protection & Security

We process personal data in accordance with our Privacy Policy. For enterprise clients, a Data Processing Agreement (DPA) will be executed upon request. Our security practices are outlined on our Security page.

9. Service Level Agreement (SLA)

Enterprise Subscription clients receive SLA commitments as specified in their Order Form, including uptime guarantees, response times, and support tiers. Standard SLA targets include:

• Platform Availability: 99.9% uptime (measured monthly, excluding scheduled maintenance).
• Support Response: Critical issues within 1 hour; High within 4 hours; Medium within 8 hours.

10. Warranties & Disclaimers

10.1 Limited Warranty

Securseed warrants that the Services will perform materially in accordance with the applicable documentation during the Subscription term.

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SECURSEED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SECURSEED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURSEED'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SECURSEED BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

12. Indemnification

You agree to indemnify and hold harmless Securseed, its officers, directors, employees, and agents from any claims, losses, damages, or expenses arising from: (a) your use of the Services in violation of these Terms; (b) your Client Data; or (c) your violation of applicable law.

13. Term & Termination

• Term: These Terms are effective until terminated. Subscriptions run for the period specified in your Order Form.
• Termination for Convenience: Either party may terminate with 30 days' written notice at the end of a Subscription period.
• Termination for Cause: Either party may terminate immediately if the other party materially breaches and fails to cure within 15 days of written notice.
• Effect of Termination: Upon termination, your access ceases. You may request data export within 30 days. Securseed will delete Client Data within 90 days unless legally required to retain it.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India for services contracted through our India entity, and by the laws of the Dubai International Financial Centre (DIFC) for services contracted through our UAE entity.

Disputes shall be resolved through binding arbitration under the rules of the respective jurisdiction's arbitration centre, unless injunctive or equitable relief is sought.

15. General Provisions

• Entire Agreement: These Terms, together with the Order Form and Privacy Policy, constitute the entire agreement.
• Severability: If any provision is held invalid, the remainder shall continue in full effect.
• Assignment: You may not assign these Terms without our prior written consent.
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
• Notices: Legal notices must be sent to info@securseed.com.
